MOSCOW, March 25. /TASS/. Shareholders of O’KEY Group, a major Russian retailer, approved the company’s re-domiciliation from Luxembourg to Russia at an extraordinary meeting on March 25, the group said in a press release.
"O’KEY Group S.A. <…>announces that its shareholders decided at an extraordinary general meeting (EGM) on March 25, 2025 to change the Company’s jurisdiction from the Grand Duchy of Luxembourg to the Russian Federation," the press release says.
In accordance with the decisions taken at the meeting, it is planned that after completing all the necessary procedures, the company will be registered in the special administrative region on Oktyabrsky Island in the Kaliningrad Region as an international company, public joint-stock company O'KEY Group. Until the re-domiciliation is completed, the group will continue to operate as a Luxembourg company.
"The process of changing the Group’s legal registration will not affect the business processes or operations of its retail chains or its subsidiaries. The Group will continue to meet all its obligations to its partners and customers on time and in full," the press release says.
The O'KEY Group opened its first hypermarket in St. Petersburg in 2002. In 2015, the retailer launched its own chain of discounters. In December 2024, the group announced its intention to sell the O'KEY hypermarket business to Russian management.
