Rusagro Group announces suspension of GDR trading on Moscow Exchange on December 5, 2024

As the company reported, on September 5, 2024, the Arbitration Court of the Moscow region granted the application of Russia’s Agriculture Ministry to suspend the exercise of corporate rights of Ros Agro PLC in relation to PJSC Rusagro Group

MOSCOW, November 27. /TASS/. Rusagro Group, Russia's largest vertical agricultural holding, announced the suspension of trading in global depository receipts (GDRs) on the Moscow Exchange on December 5, 2024, the company said.

"Rusagro Group (ticker on the Moscow Exchange - "AGRO", on the Astana International Exchange - "AGRO.Y"), Russia's largest vertical agricultural holding, announces suspension of Global Depositary Receipts (GDR, ISIN US7496552057) trading on the 5th December 2024," the statement says.

As the company reported, on September 5, 2024, the Arbitration Court of the Moscow region granted the application of Russia’s Agriculture Ministry to suspend the exercise of corporate rights of Ros Agro PLC in relation to PJSC Rusagro Group. The statement specifies that the court's decision also means that the group's shares will be distributed among the holders of GDRs and shareholders of Ros Agro PLC in proportion to their indirect share of ownership of PJSC Rusagro Group.

"In line with the provisions of the Decision the record date of GDR holders in Russian depositaries will be set for 9 December 2024, Rusagro Group PJSC shares distribution among the specified holders will be completed by the end of 2024," the company said.

In October of this year, the head of the company's IR department, Yegor Sergushov, announced during a webinar that Rusagro Group of Companies, which is in the process of re-registration from Cyprus to Russia, expects to start trading in Rusagro PJSC shares on the Moscow Exchange in March 2025. At the same time, in the first or second week of December 2024, trading in receipts of Ros Agro PLC (the Cypriot parent company) on the Moscow Exchange will be suspended.

About re-registration

In March 2024, Rusagro Corporate Development Director Alexander Tarasov announced during an online conference that the company had submitted documents to the Cypriot regulator to launch re-domiciliation to Russky Island in Russia’s Far East. In July, the Russian government included Rusagro Group of Companies in the list of economically significant entities.
